This Luxembourg based investment bank and asset management firm is heavily involved in the drafting of new securities
, on an almost constant basis. To manage that process therefore they are looking to hire a Securities Underwriting Manager to join their Securities team.
The bank itself is heavily involved in the provision of project finance and managing complex global trade finance transactions on behalf of their clients. Customers for these services are both sophisticated private investors and other financial institutions (banks, enterprise financial institutions, broker/dealers, insurance firms and family offices). The bank utilizes and actively trades large volumes of public and private instruments such as European and global instruments like commercial paper, bonds, short and medium-term notes. Many of these transactions are private placements and are used for multi million-dollar funding ($50 M +). In many cases they act as the underwriter for a number of corporate bond that they have created and traded on behalf of their clients.
The Securities Underwriting Manager reviews all new bonds applications to evaluate, classify, and rate each risk to determine acceptability, rating, coverage, and overall pricing
. They have the overall underwriting authority and are responsible for drafting, reviewing and negotiating of all bond lending documentation. This underwriting documentation/ information must be maintained in the Exchanges account management systems and adhere to compliance and documentation standards. As Securities Underwriting Manager they can expect to have to answer queries regarding the bonds issued, content of the contracts and the status of master documentation from both internal stakeholders and external partners / clients.
To accurately underwrite new issue bonds the Securities Underwriting Manager will perform analysis of applicant's financial statements and accompanying schedules, review their credit history, reference their credit and performance, and undertake all related due diligence with regard to the bond being issues. They must offer an impartial assessment of bond counter parties at all times. All draft and issue bonds must be created in accordance with established the Bank regulations and guidelines. Finally the Securities Underwriting Manager will help resolve legal, accounting and collateral issues related to bond submissions with internal colleagues.
To be considered for the Securities Underwriting Manager vacancy the successful applicant will have at least five years Bond / Securities underwriting experience. It is expected this will have been gained working at another bond issuing investment bank, securities exchange or brokerage. Candidates are required to have a deep understanding of international fixed income / bond / paper markets and a proven track record in such industries. They will also have a firm appreciation of current bond market compliance regulation and a solid understanding of contract law. Needless to say the Securities Underwriting Manager required strong drafting skills.
